Key Job Responsibilities:

  • Drafting, reviewing and negotiating terms and conditions, non-disclosure agreements and other contracts and legal documents
  • Coordinating the preparation of contractual risk assessments in order to obtain internal approvals before concluding contracts
  • Monitoring compliance activities, including organizing and managing files related to compliance investigations and supporting the compliance monitoring process to ensure adherence to regulations and internal procedures
  • Preparing minutes, corporate resolutions and corporate filings, maintaining corporate books and completing other corporate governance tasks
  • Monitoring particular legal or regulatory developments
  • Conducting legal research and preparing memorandums or other summaries of findings
  • Reviewing, revising and/or developing legal and compliance training materials
  • Providing administrative support to the legal team, including liaising with other departments on joint projects, document management and organization of legal and compliance files, drafting working instructions and establishing processes and procedures for various legal and compliance matters
  • Assisting on strategic initiatives of the legal department
  • Other duties as assigned

Qualifications:

Required

  • Bachelor’s degree or Paralegal Certificate from an ABA-approved program
  • Strong knowledge of corporate law
  • Experience with contract drafting, negotiating terms and conditions and commercial transactions generally
  • Excellent analytical and problem-solving skills, accuracy and timeliness
  • Ability to handle highly sensitive and confidential issues with discretion
  • High attention to detail and ability to manage multiple priorities
  • Proficiency with Microsoft Products including Word, Excel and PowerPoint

Preferred

  • 3+ years of experience as a corporate paralegal in a law firm or in-house legal department
  • 3+ years of experience in commercial contract review with proven contract negotiations skills
  • Experience with export compliance, multi-jurisdictional contract laws (US and international), M&A support and/or intellectual property
  • Familiarity with contractual risk assessments

Working Environment:

  • Primary working environment is an office setting
  • Full time on-site work preferred, with the opportunity to work remotely two days per week
