Providing pragmatic, strategic and day-to-day legal and compliance counselling, advice, training and support to business management and operational personnel of BASF.
Drafting, reviewing and negotiating a variety of agreements, including product sales, raw material supply, custom manufacturing, distribution, and services agreements, in support of day-to-day transactions.
Developing and providing compliance and legal training on relevant company policies, procedures and legal issues, and participating in U.S. and Global team meetings to share best practices.
Leading internal and external negotiations, helping to structure transactions and drafting or reviewing transactional documents ranging from the simple to the complex.
Interpreting rights and obligations as set forth in agreements to assist in resolving disputes and engaging and managing relationships with outside legal counsel, as needed.
Serving as legal counsel on M&A transactions, as well as other strategic projects for business units; and
Identifying issues requiring input and support from business and functional support units (e.g., intellectual property, tax, litigation, regulatory, and/or compliance counsel, risk management, finance and EH&S) and engaging such cross-functional teams to ensure complete and efficient resolution of all matters and transactions.
If you have...
J.D. from an accredited U.S. law school; License to practice law in the U.S.
At least 7 years of experience working in a law firm and/or practicing as in-house counsel in the area of commercial transactions, including sales, procurement and/ or manufacturing, with a team-oriented, collaborative work style; experience analyzing, preparing and conducting strategic negotiations; proficiency in US antitrust laws preferred.
Strong negotiation and communication skills (written and oral), including the ability to pragmatically and concisely communicate complex legal issues to non-lawyers.
Demonstrated well-developed, real-world business judgment with the ability to effectively influence, communicate and interact with diverse groups at all levels of the organization as well as with external stakeholders.
Demonstrated ability to adapt to a changing environment, work independently and make sound decisions within BASF’s risk tolerances.
